Henry Li
Chief Executive &
Global Director of Consulting

Henry Li is the co-founder, co-managing partner of YK Law LLP and head its China Practice. He is also a partner of Beijing Yingke Law Firm, the largest law firm in China.

Henry Li practices principally in the areas of corporate and international law, with emphasis on cross-border mergers and acquisitions, joint venture transactions, international sales and distribution transactions, technology transfers and licensing, cross-jurisdiction dispute resolutions, and entertainment law matters. Mr. Li has extensive experience in transactions between China and the U.S.

In addition to China and the U.S., Mr. Li has also represented transactions in the following jurisdictions by collaborating with local counsels: Australia, Brazil, Canada, Czech Republic, France, Germany, Hong Kong, Hungary, Israel, Kazakhstan, Poland, Russia, Singapore, Spain, Turkey, the UK, and other countries. Mr. Li is also very familiar with offshore corporate structures.

In 2015, Henry Li was appointed as a board member of Yingke Global Legal Service Alliance, the first international alliance of independent law firms headquartered in China with 22 members practicing law in 53 countries.

Adam is a well-know and highly regarded entertainment, tax, and intellectual property lawyer. He has more than 20 years of experience, having owned and operated his own law firm for the last 19 years and previously served as in-house counsel in the Corporate & Transactions Group at NBC.

Adam’s three main practice areas routinely intersect just as entertainment, taxation, corporate structuring, and intellectual property matters routinely overlap in the course of a transaction. Through a transactional lens, Adam offers strategic and practical advice that achieves short-term goals as well as long-term solutions for his clients. Whether he is negotiating a transaction or rendering day-to-day advice to his clients, Adam makes long-term planning and goals a priority in his dealings.

In his entertainment practice, Adam focuses primarily on the music, television, and film industries. His practice includes negotiating a wide range of transactions in the music, film, and television industries, with deep experience representing clients on both sides of the negotiating table, from individual artists and singer-songwriters to major record labels and film distribution companies. He has negotiated and structured a broad range of agreements, including licensing and release agreements, recording agreements, artist release agreements, distribution agreements, TV development music publishing agreements, artist management agreements, master use agreements, synchronization agreements, merchandising agreements, rights acquisition agreements, asset transfer agreements, and other agreements typically required in transactions with major record labels, music publishing houses, TV and film studios.

In his business structure and tax practice, Adam helps clients gain a better understanding of complex tax, business, and financial issues. He provides critical insights and assists clients to optimize the financial performance of their business and investments through use of business structures. residency and tax planning strategies to minimize the impact of taxes, both domestically and internationally.

In his intellectual property practice, Adam handles copyright registration, trademark and service mark prosecution, as well as licensing agreements, assignments and transfers of intellectual property, and other intellectual property matters that may arise in the course of his transactional work. In his dealings, Adam focuses on structuring transactions to reduce tax burdens on domestic and foreign intellectual property owners.

Adam received his LLM in Taxation from Boston University and earned his J.D. from the Cardozo School of Law. He holds a B.S. in Finance from Bentley College.

Adam’s deep experience in transactional entertainment, taxation, and intellectual property law as well as his entrepreneurial experience as a small business owner and in-house counsel at a prominent, global entertainment company has equipped Adam to provide dynamic, practical, and strategic advice and business solutions to his clients.

Ian Liao
M&A and U.S. Market Entry

Ian Liao is the Head of M&A and U.S. Market Entry services at YKC. Mr. Liao is a corporate lawyer with substantial experience in M&A, venture capital, private equity, technology and other corporate transactions. He has advised many venture capital funds and high-tech companies (including start-up and pre-IPO companies) in investment and fundraising transactions. Mr. Liao has also represented leading multinational companies in complex mergers, asset acquisitions and divestitures, joint ventures and equity purchase transactions involving various industry sectors (including manufacturing, television and media, special materials, medical devices and internet/e-commerce). He often works with the management teams of leading multinational companies on tech and commercial matters involving their US and overseas operations; as well as advising them on cross-border technology licensing and intellectual property enforcement matters.

Aaron Kiersh
Motion Picture Finance

Aaron is a veteran at establishing partnerships between film companies in the U.S., China and around the world. He has experience supporting the businesses of production, distribution, sales and visual effects companies in China and other key global markets. Despite recent global challenges, Aaron believes there are still many opportunities to harness the best of China and Hollywood for international audiences.

After graduating from Columbia University, Aaron moved to Beijing, China where he worked for China’s leading Internet search engine, Baidu, until 2015 and then at start-up technology companies until 2017 before starting his own consulting company, EastSource Entertainment, in 2018. He now works with YKC in helping clients achieve their business objectives, in terms of production, sales, distribution, financing and other key areas in the media and entertainment space.

Mike Chen

With rich experience spanning more than a decade in both public and private accounting, CPA Mike Chen serves as the Head of Tax and auditing at YKC. Mr. Chen concentrates in the areas Accounting & Auditing, Tax Advisory, and Consulting.

Mr. Chen’s public accounting experience includes auditing, accounting and consulting for emerging to middle market companies. His industry experience spans a plethora of industries, including franchisor/franchisee, non-profit and religious organizations, retail, entertainment, financial services, high tech, hospitality, jewelry, manufacturing, private equity, wholesale/distributor.
